Service Agreement

The service agreement is made between Adlib Design Studio and you for the provision of website design and development services.

Services

We agree to provide website design and development services to Client, as outlined in the project proposal and any subsequent project agreements. The scope of the services to be provided and the project timeline will be mutually agreed upon by the parties.

Payment

Client agrees to pay us the fees for services rendered as outlined in the project proposal and any subsequent project agreements. Payment is due upon completion of each milestone or as otherwise agreed upon by the parties. In the event that payment is not received within 5 days of the due date, we reserve the right to suspend work on the project until payment is received.

Confidentiality

We agree to keep all information provided by Client confidential and to not disclose such information to any third party without Client’s prior written consent.

Warranties and Representations

We represent and warrant that the website will be designed and developed in a professional and workmanlike manner and that the website will not infringe upon the intellectual property rights of any third party.

Client represents and warrants that it has the right to use any content provided to us for use on the website and that such content does not infringe upon the intellectual property rights of any third party.

Limitation of Liability

We are not liable for any damages or losses that may result from Client’s use of the website, including but not limited to direct, indirect, incidental, or consequential damages. Our liability shall be limited to the fees paid by Client for the services rendered.

Indemnification

Client agrees to indemnify and hold us harmless from any claims or damages arising from Client’s use of the website or from Client’s breach of this agreement.

Termination

Either party may terminate this agreement upon written notice if the other party breaches any material provision of this agreement and fails to remedy such breach within 15 days of written notice of such breach.

Entire Agreement

This agreement constitutes the entire understanding between the parties and supersedes all prior agreements, understandings, and negotiations, whether written or oral.

Changes to This Agreement

This agreement may only be amended by written agreement of the parties.
